These terms form an agreement between you and Madam Mimi Marketing (trading as Hook Ledger), the provider of the Hook Ledger service at https://gethookledger.com.

1. Who you are contracting with

The Hook Ledger service is provided by Madam Mimi Marketing, trading as Hook Ledger ("we", "us", "our"). By creating an account, subscribing, or otherwise using Hook Ledger you are entering into an agreement with Madam Mimi Marketing. 2. Acceptance of these terms

By registering for, accessing, or continuing to use Hook Ledger you agree to these terms. If you do not agree, stop using the service. If you use Hook Ledger on behalf of a company or agency, you confirm you have authority to bind that organisation; if you use it as an individual, you confirm you are of legal age in your country.

3. What Hook Ledger does

Hook Ledger is a subscription software service for marketers and affiliates. It generates marketing hooks, captions, and short-form video creatives with AI, produces trackable affiliate links, records clicks and conversions, and reports on attribution and content performance. Optional modules connect to third-party platforms such as Shopify, affiliate networks, schedulers, and AI providers.

4. Your account

You must provide accurate registration details and keep them up to date. You are responsible for keeping your credentials confidential and for all activity that happens under your account. Tell us promptly if you suspect unauthorised access.

5. Licence and restrictions

We grant you a limited, non-exclusive, non-transferable right to use Hook Ledger within the plan you have selected, for your own business or your clients' campaigns. You may not reverse engineer the service, resell or redistribute access, circumvent plan limits, quotas or credit metering, or use the service to build a competing product.

6. Acceptable use and misuse

You must not use Hook Ledger to:

  • break any law or regulation, including advertising and consumer-protection rules;
  • commit fraud, send spam, or run deceptive or misleading affiliate promotions;
  • infringe anyone's intellectual property, publicity, or privacy rights;
  • interfere with the security or integrity of the service — no malware, probing, brute forcing, credential stuffing, unauthorised scraping, or load testing;
  • upload personal data of third parties for which you have no lawful basis, or process special-category data through the AI features.

7. AI features: your responsibilities

Hook Ledger includes generative AI (text, image, voice, and video). You are responsible for your prompts, for the inputs you upload, and for how you use the outputs. Specifically:

  • You must hold the rights to any product images, footage, audio, likeness, or brand assets you upload, and you must have documented consent before cloning a voice or generating a person's likeness.
  • You must not generate illegal content, sexual content involving minors, hate speech, harassment, malware, deceptive deepfakes, or content that impersonates a real person or brand without permission, and you must not attempt to jailbreak the underlying models.
  • AI output can be inaccurate, biased, or non-original. You must review and verify outputs before publishing, and you must not present them as regulated financial, legal, medical, or tax advice without qualified human oversight.
  • Where required by the platform you publish on, disclose that the content is AI-generated and disclose affiliate relationships.

As between you and us, you keep the rights you already have in your inputs, and subject to payment you may use the outputs generated from your inputs for your own commercial campaigns. We claim no ownership of your campaign content. Rights-holders can report suspected infringement to support@gethookledger.com; we investigate, remove or restrict content where appropriate, and repeat or serious infringement leads to account termination.

We may operate content moderation: we can filter or refuse outputs, remove or restrict content published through community features, and suspend accounts that abuse the AI features. Where we remove your content you can appeal via the in-app appeals flow.

8. Your content

You grant us a limited licence to host, store, process, and transmit the content and data you submit, solely so that we can provide, secure, and support the service (including sending it to the AI and platform providers needed to fulfil your request).

9. Our intellectual property

We retain all ownership of Hook Ledger, including its software, models and prompt pipelines, templates, documentation, look and feel, and the Hook Ledger name and branding. Nothing in these terms transfers our intellectual property to you.

10. Service availability

We work to keep Hook Ledger available but we do not guarantee uninterrupted, timely, or error-free performance. Features depend on third-party platforms and AI providers that can change, rate-limit, or fail. We may perform maintenance, and we may change or discontinue non-essential features.

11. Payment, subscriptions, and taxes

Subscriptions and credit packs are sold in the currency and at the price shown at checkout, and renew automatically for the billing period you selected until cancelled. Payment, billing, currency, tax, invoicing, cancellation, and refund mechanics are handled by our reseller Paddle and are governed by the Paddle Checkout Buyer Terms. Our own refund commitment is set out in our Refund Policy. You can cancel at any time; access continues to the end of the paid period unless a refund is granted.

12. Merchant of Record

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

13. Suspension and termination

We may suspend or terminate your access if you materially breach these terms, fail to pay, create a security or fraud risk, or repeatedly or seriously violate our acceptable use or AI rules. Where it is reasonable and safe to do so we will warn you first and give you a chance to fix the problem. You may stop using the service and close your account at any time.

After termination you have 30 days to export your hooks, links, and reporting data on request, after which your account data may be deleted or anonymised.

14. Warranties and liability

To the fullest extent permitted by law we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. We are not liable for indirect, consequential, or special losses, including lost profits, lost revenue, lost affiliate commissions, lost data, or loss of goodwill. Our total aggregate liability is limited to the fees you paid in the 12 months before the claim. Nothing in these terms excludes liability for fraud, death, or personal injury where that exclusion is not permitted by law.

You indemnify us against claims arising from your content, your campaigns, your use of AI outputs, or your breach of these terms.

15. Changes to these terms

We may update these terms as the service evolves. Material changes will be announced in the app or by email before they take effect. Continued use after the effective date means you accept the updated terms.

16. General

You may not assign this agreement without our consent; we may assign it as part of a merger, acquisition, or reorganisation. Neither party is liable for delays caused by events beyond its reasonable control. These terms are governed by the laws of the country in which Madam Mimi Marketing is established, and the courts of that country have jurisdiction, without affecting any mandatory consumer rights you have locally.
